The Club Constitution
(revised and adopted at the NBCC Annual General Meeting on 17 November 2005)
1. NAME
The name of the club shall be The North Berwick Cinema Club.
2. OBJECTS /AIMS OF THE CLUB
The objectives of the Club are to promote appreciation of, and education about, film in the North Berwick area, and to support other community initiatives.
3. MEMBERSHIP
a. Full membership of the club shall be open to anyone over the age of 16 years, on payment of the current fee and at the discretion of the Committee.
b. Full membership of the club shall entitle the holder to the purchase of film passes to attend film shows, subject to availability of tickets and compliance with British Board of Film Classification age ratings, and other meetings.
c. Only members and their guests shall be admitted to the film exhibitions.
d. Tickets for each film will go on sale up to four weeks in advance of its screening. Only members may buy guest tickets, on the basis of one per member, and they must do so in advance, no earlier than the Saturday prior to the first screening of the film in question. No money for tickets may be taken on the door.
e. Membership shall be on an annual basis, from 1 September. However, exceptionally, only on the day of screening and subject to availability, remaining tickets conferring day membership may be sold to members of the public
4. COMMITTEE
a. The Committee shall consist of at least a:
Chairperson
Treasurer
Secretary
Publicity Officer
Films Administrator
and at least two ordinary members
b. The Committee shall be elected at the Annual General Meeting.
c. Committee posts are open to all members of the club, with the exception of the Chairperson, Treasurer and Secretary who may not take any other posts on the Committee.
d. The Committee shall meet no less than once every two months.
e. The quorum for meetings shall be five.

g. In the event of Committee posts remaining vacant after the AGM, the posts may be reconsidered for election at a General Meeting. The term of office for those elected shall last until the next AGM.
h. All members of the Club have the right to be observers at Committee meetings.
5. GENERAL MEETINGS
a. The Annual General Meeting shall be held between October and March.
b. The quorum for any General Meeting shall be fifteen.
c. The date of the AGM shall be publicly displayed in such a manner as to be accessible to all members of the Club no less than two weeks before the agreed date of the AGM.
d. The agenda of the AGM shall be publicly displayed in print in such a manner as to be accessible to all members of the Club no less than one week before the agreed date of the AGM.
e. Other General Meetings may be called by the Committee or at the written request to the Committee of no less than fifteen members of the Club.
6. MANAGEMENT
a. The current list of officers, members, equipment owned and membership fee shall be kept as Club records. The Club Treasurer shall be informed of any change in the aforementioned.
b. The authority to spend the Club's budget must be signed for by the Club Treasurer and one other elected official.

d. The Club shall not be run for the private profit of any member or members.
e. No members or Committee members shall receive payment directly or indirectly for their services or for anything other than legitimate expenses incurred in the work of the Club.
f. The Club shall not be wound up except by resolution of three quarters of those present at a special General Meeting called for that purpose. In the event of winding up, the remaining funds of the club shall not be distributed among members but shall be passed to a charitable organisation in North Berwick for the benefit of North Berwick. Such an organisation shall be chosen by the Committee.
7. ALTERATION OF RULES
No alteration of the rules shall be made except by a resolution of two thirds of t those present at a General Meeting.
